Charitable Gift Agreement

This Charitable Gift Agreement (“Agreement”) is entered into this day of , 20, by and between (hereinafter referred to as the “Donor”) and International Esperanza Project, a registered 501(c)(3) organization (hereinafter referred to as the “Organization”).

I. Purpose of the Gift

The Donor wishes to demonstrate support for the Organization by providing a charitable contribution. The Gift (defined below) shall be used exclusively to support (the “Purpose”).

II. The Gift and Payment Schedule

The Donor hereby pledges and agrees to contribute a total gift of $ (the “Gift”) to the Organization, to be paid in accordance with the following terms:

Outright Gift. Paid in full on or before , 20.
Multi-Year Pledge. Paid over a period of years, according to the schedule below.   Installments to show:

The Donor may accelerate the payment of any or all parts of this pledge at their sole discretion.

III. Recognition and Naming Rights

In appreciation of the Gift, the Organization agrees to recognize the Donor as follows:

Public Recognition. The Organization may list the Donor’s name in its annual report, website, and other donor recognition as .

Naming Rights.

Upon full funding or receipt of the initial installment, the Organization agrees to name the for a period of years or the duration of the asset’s useful life.

No naming rights are conferred under this Agreement.

IV. Revision of the Purpose

The Organization agrees to make every effort to honor the Donor’s restrictions regarding the Purpose. However, if at any time the original Purpose becomes obsolete, impractical, impossible, or highly wasteful to execute, the Organization’s Board of Directors may alter the application of the Gift. Any such alteration must align as closely as possible with the Donor’s original charitable intent and must be made in writing. Should the Donor desire to change the purpose of the gift, it will be done in writing and approved by both the Donor and the Organization.

V. Moral Clause / Termination of Recognition

If at any time the Donor is convicted of a felony, involved in a public scandal, or engages in conduct that materially conflicts with the mission of the Organization or reflects negatively on its public image, the Organization reserves the right to terminate any naming rights or public recognition associated with this Gift without a refund of any portion of the Gift.

VI. Legal and Governance Provisions

  • Irrevocability. This Gift constitutes an irrevocable commitment once transferred to or accepted by the Organization.
  • Entire Agreement. This document constitutes the entire agreement between the parties and supersedes any prior oral or written discussions.
  • Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Texas.
  • Tax Status. The Organization represents that it is a qualified charitable organization under Section 501(c)(3) of the Internal Revenue Code. The Organization makes no representations regarding the specific tax deductibility of this Gift for the Donor.
